HWL Ebsworth, G+T advise as Pacific Equity Partners acquires ATOM Group

HWL Ebsworth and Gilbert + Tobin (G+T) have confirmed their roles in Pacific Equity Partners’ (PEP) acquisition of ATOM Group.

HWL Ebsworth represented ATOM Group’s owners and management team, while G+T advised PEP.

According to G+T  co-lead partner Ilona Hunnisett, this represents PEP's first investment into its recently debuted Fund VII. HWL Ebsworth lead partner Jamie Restas said that the deal was closed “following a competitive sale process, which resulted in Pacific Equity Partners as the successful bidder and involved a number of complex aspects including the restructure of the PNG operations”.

Restas received support from special counsel Shane Lloyd and Samantha Reidy, associate Sarah Minns, and solicitors Kate Munn and Cameron Pitt. Partner Daniel Kiley helmed the technology and IP team with support from associate Kayla Costa and solicitor Alexia Daminato.

Partner Clare Raimondo and solicitor Maggie Feuerherdt pitched in on the workplace relations aspects of the deal. The property aspects of the deal were handled by partners Adam Ludlow, Kathy Gray and Lynette Reynolds; special counsel Kim Counsell and Vic Draghicescu (Special Counsels); and solicitor Milton Mitsioulis. Partner Peter Staniszewski tackled the finance aspects of the deal.

G+T advised on all aspects of the transaction, which covered deal structuring, debt financing, and significant cross-border issues. Hunnisett spearheaded the team alongside fellow corporate advisory partner Hiroshi Narushima and lawyers Rohit Duggal and Ziggy Liszukiewicz.

The corporate advisory arm of the team received support came from banking and projects partner Gail Christopher and lawyers Alanie Joseph and Natan Skinner, as well as technology and digital partner Andrew Hii and lawyer India Monaghan.

ATOM Group is a distributor of safety and industrial supplies across the resources, defence, manufacturing, and infrastructure sectors in Australia.
